corporation duly organized and esisting under and by virtue of the laws of thc;
State of Wisconsin, with its principal place of business at Port Edwards, �Vood
County, Wisconsin, Grantor, hereby conveys and warrants to JOHNSON TIh[BER
CORPORATION , a corporation duly organized and existing under and by virtue
of the laws of the State of Wisconsin, with its principal place of business at
Hayward, Sawyer County, Wisconsin, Grantee, for the sum of One Dollar ($1.00)
and other valuable considerations, the following tract of land in Sa�vyer County,
State of Wisconsin, to wit:

In the event Grantee shall at any time in the future propose to sell the real estate
and improvements to real estate or to transfer ownership of, or issue more than
32% of the outstanding stock of Grantee to other than William D . Johnson and his
descendants, then Grantor shall first be offered the right in writing for the period
of ninety (90) days to purchase said real estate and improvements to real estate ,
personal property, machinery and equipment on the same terms and conditions at
which offered for sale, or if this be by transfer or issue of stock at the fair
market value thereof, as agreed by the parties hereto , or as established in
accordance with the rules of the American Arbitration Association in Wood Gounty .
Wisconsin.
This deed is given in fulfillment of a certain land contract between the parties dated
December 31, 1974, a memorandum of which was recorded on April Z5, 1975 at 5: 30
a.m. in the office of the Register of Deeds for Sawyer County in Volume 259 of
Records on pages 350-369 as Document No. 151038.
Excepted from the warranty herein are any liens or incumbrances created or suff��red
to be created by the acts or defaults of the Grantee.
IN WITNLSS 6VHEREOF, the said Grantor has caused these presents to be signed by
Arthur A. Bernhardt, its vice president, and countersigned by Robert R. Johnson,
its secretary, at Por�Edwards, Wisconsin, and its corporate seal to be hereunto

Commencing at the Northwest corner of Section 6, T40N, R9W, thence
S 0° 11' 27° W along the West line of Section 6, 1422. 85 feet, thence N 89°
40' ll" E, 2054. 47 feet, thence N 3° 11' 12" W, 1357. 82 feet, to the Section
line between said Sections 6 and 31 , thence S 88° 06' 23" E along the South
line of Section 31, 836. 38 feet, thence N 1° 58' 17" W, 815. 80 feet to the
Southerly right of way of the Chicago and Northwestern Railroad , thence
S 77° 48' 36" W along said railroad right-of-way line, 2503. 89 feet to the

This deed is given to fulfill the Memorandum of Land Contract recorded
April 25, 1975 in Volumc 259 of Records on pages 350-369 as llocument
No. 151038 with the description herein amended and in accordance with
Certified Survey No. 1105 recorded July 20, 1978 in Volume 5 of Certified
Surveys on pages 389-390 in the office of the Register of Deeds for
