The Department has received the necessary information from NSP and Mead & Hunt to approve a RFE
for Herman's landing on the Chippe��a Reservoir. T40N-R7W-Sec 24
The RFE is approved at 1313.7 feet NGVD-29. This is equivalent to 131 �. 1 feet N1SL (the power plant's
datum).

Dear Tribal Governing Board:
In response to your request for correspondence related to Herman's Landing fishing resort, on
tlle Chippe�va Flowage, we are pleased to document the follo�ving criteria based on the 100-
year flood elevation for the Flo�vage:
1. The Chippewa Reservoir dam gates are presently in �corking order;
2. There is no history of difficulties in operating the Chippewa Reservoir dam gates
during flooding events;
3. An adequate operation plan for flooding e��ents is �vritten and implemented which
assures operation of the gates 24 hours a day.
V`'e tn�st that the foregoing will satisfy the floodplain zoning requirements upstream of dams.

Kelsey Road, Hayward, Wisconsin 54843, the sum of $2,400,000.00 in [he
following manner. (a)$1,200,000.00 at the execution of this Contract, lhe receipt of which is hereby aeknowledged by Vendor,
and(b)lhe balance of$1,200,000.00, together with interest from date hereof on the balance outstanding from time to hme it
the rate of seven percent(7%) per annum m�til paid in full, as follows: In one final payment consisting o[principal and
interest payablc on January 3,Z000.
Provided,however,the entire outstanding balance shall be paid in full on or before Ihe 3rd day of January,2000. (the

Following any default in payment, interest shall accrue at the rate of hvelve percent(12%)per annum on the entire amount
in default(which shall include, without limitation, delinquent interest and, upon acceleration or maturity; die entire principal
balance).
Payments shall be applied fust to interest on die unpaid balance at the rate speciC�ed and then to prii�cipal. There may be
no prepayment of principal without permission of Vendor.

Purchaser shall keep the improvements on tl�e Property insured against loss or damage occasioned by tire, eztended
coverage perils and such oUier hazards as Vcndor may reyuire, without co-insurance, though insurers approved by Vendor, in
�he sum of the full insurable value,but Vendor shall not require coverage in an amount more tlian�}�e balance owed under this
Contract. Purchaser sl�all pay the insurance premiwns when due. "I'he policies shall contain tlte standard clause in favor oC the
Vendor's interest and, unlcss Vendor olherwise agrees in writing, Ihe original of all policies covering the Property shall b_
deposited wi4�Vendor. Purchaser shall prompdy give��otice of loss to insurance companies and Vendor. Unless purchaser and
Vendor otherwise agree in wri[ing, insurance procceds sliall be applied to restoration or repair of the Properry damaged,
provided the Vendor deems Ihe restoration or repair to be economically feasible.
Purchaser covenants not to comnut waste nor allow waste to be committed on the Property, to keep tl�e Property in good
tenantable condition and repair, to keep the Property free from liens superior to the lien oCthis Contract, and to comply wid�
all laws,ordinances and regulations affectic�g the Property.
Vendur agrees that in case the purchase price with interest and other moneys shall be fully paid and all conditions shall
be fully performed at the times and in (he manner above specified, Vendor will on demand, execute and deliver to thc
Purchaser, a Warranty Deed, in fee simple, of die Property, Cree and clear of al] Iiens and encumbrances,except any liens or

Vendor unless either the outslanding balunce payable under ll�is Contract is first paid in full or lhe ioterest convcyed is a pledge

any such transfer, sale or cmrveyance wi[hout Vendor's written consent, the entire outstanding balance payable under d�:s
Contract shall become inunediately due and payable in full, at Vendor's option without notice.
Vendor shall make all payments when due under any moRgage outslanding agains[the Property on ilie date of this Contract
(except for any mortgage granted by Purchaser)or under any note secured diereby,provided Purchaser makes timely payment
of the amounts then due undcr this Contract.Purchaser may make any such payments duecdy to the Mortgagee if Vendor fails
to do so and all payments so�nade by Purchaser shall be considered payments on this Contract.
Vendor may waive any default without waiving any other subsequent or prior defaul[of Purchaser.
All temu of lhis Co��Vact shall be binding upon and imve to die bene6ts of the heirs, legal representatives, successors and
assig�u of Vendor and purchaser.(If not an owner of ll�e Property the spouse of Vendor Cor a valuable consideration joins herein

Additional Terms of Land Contrach
The Purchaser, dic Lac Courte Oreilles Band of Lake Superior Chippewa Indians, waives the defense of sovereign
immunity with respect[o diis Land Contract and the sale between Vendor and Purchaser,and further stipulates and agrees, that
the venue and jurisdiction for the resolution of any disputes regarding this matter shall be in the courts of the State of
W isconsin.
71ie Purchaser,as Deblor,and[he Vendor, as Secured Party,have executed one certain Unifomi Conunerciel Code Chattel
Sewrity Agreemen[be�ring even da[e herewi�li,Uy which Purchaser, as Deb[or, has granted the Vendor, as Secured Party, a
Uniform Commercial Code Cha[te]Security Inleres[ in cerlaii�fixlures,personal property, equipment, and inventory, which
are a part of this transaction. A breach by the Purchaser, as Deblor, of the Chattel Security Agreemen[shall, at the option of
the Vendor,be deemed a breach of tl�is Land Contract A breach of[his Land ConVact by the Purchaser shall, at the opuon of
the Vendor, as Secured Party,be deemed a breach of the said Chattel Security Agreement.
The Purchaser covenants and agrees that it shall not assign the Iiquor license affecting the premises separately from the
premises being sold without the written pennission of die Vendoc In the event of a defaul[upon d�e Land Contract and a
foreclosure of[he same, [he Purchaser agrees ro reassign the liquor license and all of Purehaser's rights therem to the Vendor.
Any assignee of Purchaser wl�ich �eceives assignmen[oCthe liquor license aftec[ing the premises being sold, shall be bound
