Purchaser agrces to purcUasc the Property and to pay to Vendor a[ 11122 W
Kelsey Road, Hayward, Wisconsin 54843, tlie sum of $2,400,000.00 in [he
following manner. (a)$1,200,000.00 at Ihe execution of this Contract, the receipt of which is hereby acknuwledged by Vendcr,
and(b)lhe balance of$1,200,000.00, together with interesl from date hereof on the balance outstanding Gom time to time at
the rate of seven percent(7%)per annum until paid in full, as follows: In one final payment consisting of principal and
interest payable on January 3,2000. �
Provided,however,the entire outstanding balance shall be paid in full on or before the 3rd day of January,2000. (the
maturiry date).
Pollowing any default in payment,interest sliall accrue at the rate of twelve percent(12%)per aruwm on d�e entire amount
in default(which shall include, withou[limitation, delinquent interest and, upon acceleration or maturity, the entire princip:�l
balance).
Paymenis shall be applied firs[[o interest on tl�e unpaid bala��ce a[the rate specified and Ihen to principal. There may be
no prepayment of principal without permission of Vendor.
In the event of any prepayment,diis contract shall not be treated as u�default with respect to payment so long as d�e unpaid
balance of principal, and interest(and in such case accming inrerest from month to month shall be treated as unpaid nnncipa!)
is less than the amount that said indebredness would have been had tl�e monthly payments been made as �irst specified abovc;
provided that monthly paymenis shall be continued in the event of credit of any proceeds of insurance or condermiation, the
condemned premises being thereafter excluded herefrom.

Purchaser prorrtises to pay when due all taxes and assessments levied on the Property or upon Vendur's interest in it and
to deliver ro Vendor on demand receipts showing such payment.
Purchaser shall keep d�e improvements ou Ihe Property insured agains[ loss or damage occasioned by fire, exlended
coverage perils and sueh od�er hazards as Vendor may require, without eo-insu�ance, though insurers approved by Vendor, iu
�he sum of the full insurable value,but Vendor shall not require coverage ii�an amount more d�an the balance owed uuder this
Contract. Purchuser shall pay the iusurance premiums wheu due. The policies shall contain the standard clxuse in favor of Ihe
Vendor's interest and, unless Vendor otherwise agrees in writing, the original of all policies covering the Property shall be
deposited wid�Vendor.Purcliaser shall promptly give notice of]oss to insurance eompanies and Vendoc Unless purchaser�nd
Vendor o[herwise agree in wri[ing, insurance proceeds shall be applied lo �estoration or repair of the Property damaged
provided the Vendor deems Ihe restora[ion or repair to be economically feasible.
Ptuchaser covenants not to commit wasie nor allow waste to be committed on the Property, to keep the Property in good
tenantable condition and repair, to keep the Property frce from licns superior to the lien of this Contract, and to comply with
all laws, ordinances and regula[ions afFecting�he Property.
Vendor agrees that in case the pucchase price witli interest and other moneys shall be fully paid and all conditions shall
be fully perfomied at d�e times and in the mannec above specified, Vendor will on demand, execute and deliver to the
Purehaser, a Warranty Deed, in fee simple, of[he Property, free and clear of all liens and encumbrances, except any liens or
encumbrances created by the act or default of Pumhaser,and except Easements,exceptions, restrictions,and reservations

Purchaser agrees that time is oC the cssence and (a) in the event of a default in the payment of any principal ur interest

� (1),(ii),or(iv)above. Notwi6�standing any oral or written stateme�lls or actions of Vendor, an election of any ol the foregoing
� remedies shall only be binding upon Vendor if a��d when pursued in litigation and all cos[s and expenses including reasonable

— Upon[he commencement or during the peudency of any action of Coreclosure oC this Contract,Purchaser consents to Q�e
appointment of a receiver of the Property,u�cluding homestead interest, to collect d�e rents, issaes, and profiis of the Property
during the pendency of such action,and such rents,issues,and profits when so collected shall be held and applied as the court
shall d'uect.
Purchaser shall not trausfer, sell or convey any legal or equitable inte[est in the Proper[y (by assigmncnt of any �f
Purehaser's righLs under this Contract or by option, lo��g-tem� lease or io any other way i without [he prior written consent of
Vendor unless either the outstanding balae�ce payable under this Conh�act is first paid in full or the interest co�rveyed is a pledge
or assigivnent of Purchaser's interest under this Contract solely as security for an indebtedness of Yurd�aser. In the event o(
any such transfer, sale or conveyance without Vendor's written consent, the entire oulstanding balance payable under diis
Contract shall become immediately due and payable in full, at Vendor's option without notice.
Vendor shall make all paymenls when due under any mortgage oulstanding against the PropeRy on the date of this Contract
(except for any mortgage granted by Purchaser)or under any note secured drereby,provided Purchaser makes timely payment
of the amounts then due under tl�is Contract Purchaser may make any such payments duecdy to[he Mortgagee if Vendor fails
to do so and all payments so made by Purchaser shall be considered payments on this Contrac[.
Vendor may waive any defaul[widiout waiving any other subsequen[or prior defaiil[of Purchaser.
All temis of this Contract shall be binding upon and inure ro tl�e benefits of the heirs, Ikgal representatives, successors and
assigns of Vendor and purchaser.(If not an owner of the Property the spouse oC Vendor for a valuable considerationjoins herein
to release homestead rights in the subject Property and agrees ro join in die execut�on oC the deed to be made in fulfillment
hereof.)
Additional Terms of Land Contracr
The Purchaser, die Lac Courte Oreilles Band of Lake Superior Chippewa Indians, waives the defense of sovereign
immunity with respect to[his Land Contract and the sale be[ween Vendor and Purchaser,and fuRher stipulates and agrees, that
the venue and jurisdiction for the resolution of any disputes regarding this maner shall be in the courts of the State of
W isconsin.
The Purchaser,as Debtor,and the Vcndor,as Secured Party,have exeeuted one ceRain Unifom�Conmiercial Code Chattel
Security Agreemen!bearing even date herewith,by which Purchaser, as Debtor, has gran[ed the Ve��dor, as Secured Party, a
Uni(orm Commercial Code Chattel Security Interest in certain fixtures,pe�sooal propecty, equipmen[, and inventory, which
are a part of this transaction. A breach by the Purchaser, as Debtor, of the Chattel Security Agreement shall, at the option of
the Vendor,be deemed a breach of ll�is Land Contract.A breach of tUis Land Contract by the Purchaser shall, at the opuon of
the Vendor, as Secured Party,be deemed a breach of the said Chattel Security Agreement.
The Purchaser covenants and agrees that it shall not assign the liquor license affecting the premises separarely from d�e
premises being sold without tlie written pennission of the Vendor. In the event of a default upon the L�nd Contract and ,i
foreclosure of lhe same,the Pumhaser agrces to reassign[he liquor license and all of Purchaser's righls therein to the Vendor.
Any assignee of Purchaser wl�ich receives assignment of the liquor license affecting tlie premises being suld, shall be buund
by the terms of this agreemen[. Purchaser agrecs not to reassign the liquor license to any other entiry without tl�e pernussiou
uf the Vendoc Tlie Vendors shall conscnt to the assignment by Purchaser of the liyuor license to a co�purntion organized b)'
tl�e Pumhaser fur the purpose of operating the busii�ess of Herman's Landing Resor[and l�olding the liyuor license. I lowever,
prior to tlie consent of tl�e Vendor,which shall be in writing,the Pucchaser shxll provide Uie following to the Vendor in wri�ing-
Proof diat tl�e cozporation l�as been duly oiganized and established,proof dia[O�e Town of Hunter and State oC W isconsiu will
, agree to the assigcunent of tl�e liquor license to said w�poration,and an ageemen[in writing,duly executed by the appropnatc
officers of the corporation,by which the cocporation agrees to be bound by the terms of this Land Contract affecting the liquor
license, and copies of the corporate resolution approving that agreement.
