datum).

Dear Tribal Governing Board:
In response to your request for correspondence related to Herman's Landing fishing resort, on
the Chippe�va Flo�vage, ���e are pleased to document the follo���in� criteria based on the 100-
year flood elevation for the Flo�vage:
1. The Chippewa Reservoir dam gates are present(`� in «•orking order;
2. There is no history of difficulties in operating the Chippewa Reservoir dam gates
during flooding e��eots;
3. An adequate operation plan for flooding events is �r�ritten and implemented which
assures operation of the gates 24 hours a day.
��'e tn�st that the foregoing will satisfy the floodplain zoning requirements upstream of dams.

Purchaser agrecs to purchase the Property and[o pay[o Vendor at 11122 W
Kelsey Road, Hayward, Wisconsin 54843, the sum of$2,400,000.00 in the
following manner.(a)$1,200,000.00 at the execution of this Contract,the ceceipt of which is heceby acknowledged by Vendcr,
and(b)the balance of$1,200,000.00,together with interest fiom daie hereof on the balance outstanding Go�u ume ro time at
tl�e rate of seven percent(7%)per annum untif paid in full,as follows: In one final payment cunsisting of principal and
interes[payable on January 3,2000.
Provided,however,the entire outstanding balance shall be paid in full on or before the 3rd day of January,2000. (tl�e

Following any default in payment,interest shall acctue at Ihe rate of twelve percent(12%)per annum on tlie entire amount
in default(which shall include,without limitatio�,delinquent interes[and,upon acceleration or maturity;the entire pri�cipal
balance).
Payments shall be applied first[o intecest on lhe unpaid balance at the rate specified and then to principal. 1'here may he
no prepayment of principal without permission of Vendor.
In lhe even[of any prepayment,tl�is con[ract shall not be treated as in default with respect to payment so long as d�e unpaid

Vendor's interest and,unless Vendor otherwise agrees in writing,Ihe original of all policies covering tlte Property shall bc
deposited wid�Vendor.Purdiaser shall promptly give notice of loss to insurance companies and Vendor.Unless purchaser and
Vendor otherwise agree in writing,insurance proceeds shall be applied to resto[atioo or repair of the Property damaged,
provided the Vendor deems d�e restora[ion or repair to be economically feasible.
Purchaser covenanLs not to commit waste nor allow waste to be commi[ted on the Property,to keep the Property in good
tenantable condition and repair,to keep the Property free&om liens superior to the lien ol this Contract,and to comply wi�h
all laws,ordinances and regulations affecting the Property.
Vendor agrees that in case the purchase price with interest and other moneys shall be fully paid and all co��ditions shall
be fully perfomied at the times and in the manner above speci�ed,Vendor will on demand,execule and deliver to the
Purchaser,a Warranty Deed,in fee simple,oC�he Property,frce and clear of all liens and encumbrances,except any liens or
encumbrances created by the act or default of Purchaser,and except: Easements,exceptions,restrictions,and reservations

Purchaser agrees that time is of the essence and (a) in the event of a default in the payment of any principal or interest

Upon Ihe commencement or during Uie pendency of any action of ibreclosure of this Contract, Purchaser consents to the
appointment of a receiver of the Property, including homestead interest, to collect die rents, issues, and profits of the Property
during the pendency of such action,and such rents, issues,and profits when so collected shall be held and applied as the court
shall d'uect.
Purchaser shall not transfer, sell or convey auy legal or equitable interest in the Property (by assignment of any of
Purehaser's ciglils under this Contraet or by option, long-term lease or in any other way)withou[d�e prior wriuen consent of
Vendor unless eitlier the outstanding balanee payable under tliis Conl�act is first paid in full or the interest convcyed is a pledge
or assignment of Purehaser's in[eres[under Ihis Contract solely as security for an indebtedness of Purcliaser. In the event of
any such transfer, sale or conveyance without Vendor's written consent, the entire outstanding balance payable under this
Conlract shall become immediately due and payable in full, at Vendor's option without notice.
Vendor shall make all payments when due under any moRgage outs[anding against the Pmperty on the date of this Contract
(except for any moRgage granted by Purchaser)or under any note secured d�creby,provided Purchaser makes timely payment
of the amounls then due under d�is Contract.Purchaser may make any such payments direcdy to Ihe Mortgagee if Ve��dor fa�ls
to do so and all payments so made by Purchaser shall be considered payments on this Convact.
Vendor may waive any default witl�out waiving any other subsequent or prior default of Purchaser.
All temis of tliis ConVact shall be binding upon and inure ro d�e benefits of the heirs, legal representatives, successors and
assigns of Vendor and purcl�asec(If no[an owner of the Pmperty the spouse of Vendor for a valuable consideration joins hereu�
to release homestead rights in the subject Propecty and agrees to join in Ihe execu[ion of[he deed to be made in fulfillment
hereof.)
Additional Terms of Land Contract:
1'he Purchaser, d�e Lac Courte Oreiiles Band of Lake Superior Chippewa Indians, waives the defense of sovereign
immunity with respect to Ihis Land Coi�tract and lhe salc betwee�t Vendor and Purchaser,and further stipulates and agrees, that
the venue and jurisdiction for the resolution of any disputes regarding this matter shall be in the couRs of the State of
W isconsin.
The Purchaser,as Debtor, and llie Vendor,as Secured Party,have executed one ceAain Uniform Conunercial Code Chattel
Security Agreement bearing even date hecewith, by which Puechaser, as Deb[or, has granted dre Vendor, as Secuced Parry, a
UniConn Commercial Code C6attel Security Intcres[ in certain fixlures, persona!propeRy, equipmen[, and inventory, whidi
are a part of this Vansuction. A breach by the Purcl�aser, as Debtor, of the Chattel Security Agreement shall, at the option of
the Vendor,be deented a breach of Ihis Land Contract.A breach of Il�is Land Contract by d�e Purchaser shall, ai the option uf
the Vendor, as Secared Parry,be deemed a brcach of the said Chattel Security Agreement.
1'he Purchaser covenants and agrees that it shall not assign the liquor license affecting the premises separately hom die
premises being sold without die written pemiission of the Vendoc In the event of a default upon the Land Contract and a
toreclosure of the same, the Purchaser agrces to reassign the liquor license and all of Purchaser's rights therem to the Vendor.
Any assignee of Purchaser which reeeives assignment of the ]iquoc licensc affecting the premises being sold, shall be bound
by tl�e temu of tl�is agreemenC Purchaser agrecs not to reassign Ihe liquor license ro any other en[ity without ihe pernuss�c�n
of the Vendor. 11ie Vendors shall eonsent to the assignment by Purchaser of tlie liquor license to a coq�oratwn orgamted by
tl�e Purchaser fo�the purpose of operating the business oCiferman's Landic�g Resort aud l�olding dte liyuur licens'e. However,
prior to die consent oC tlic Vendor,which shall be in writing, the Pucchaser shall provide Uie following to �he Vendur in wnting:
Proof d�at tl�e corporation has been duly organized and established,proof tl�at the Town of Hunter and S�ate oC W iswnsm will
, agree to the assignment of the liquor license to said w�oration,and an agrecment in writing,duly executed by the appropna[e
officers of the cocporation,by which the co�oration agrees to be bound by the terms of this Land Co��tract affectmg the liquor
license, and copies of the corporate resolution approving that agreement.
