BARNESBERLAGE is the owner of one parcel of property located in the Town of � Round Lake,Sawyer County, Wisconsin more particularly described on attached Exhibit B which is incorporated herein by reference(Collectively,the "BARNESBERLAGE Property"). C. The BARNESBERLAGE Property are benefitted by an existing ingress and egress- easement across a certain area of the MacIntosh Trust Property pursuant to one or more of the various documents listed in attached E�ibit C which is incorporated herein by reference (Collectively,the"Existing Easement Grants"). The location of the existing easement area is described in the said"Existing Easement Grants". D. The parties wish to clarify the terms and relocate the existing easement across the MacIntosh Trust Property to the location described on the Survey Map which is attached as Exhibit D and incorporated herein by reference(the"MacIntosh Trust Property New Easement Area"). MacIntosh is willing to pay for the costs of relocating the easement area and has paid for the construction of a new access road within such easement area. E. In consideration of the above recitals,the parties wish to amend and restate the easement � created by the"E�cisting Easement Grants"regarding the Property on the terms and conditions set farth below. For good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties agree as follows: _i 1 of 8 444441 2 of 9 1. Grant of Access Easement by MacIntosh to Benefit the BARNESBERLAGE Property. MacIntosh,as owner of the MacIntosl�Trust Property,gants to BARNES/BERLAGE and to BARNESBERLAGE's successors and assigns as the owner of the BARNESBERLAGE Property,a perpetual nonexclusive easement over the"MacIntosh Trust Property New Easement Area". Such Easement shall be for the purposes o£ a. providing pedestrian and vehicular ingress and egtess to all owners of the "BARNESBERLAGE Property"and their occupants,agents,employees,guests,licensees and invitees; b. Permitting public utilities to install, lay, operate, and maintain wires, conduits and pipes for elecfical service, telecommunicarions, cable television, water, storm sewer, sanitary sewers and gas. Such utility improvements may be construcied underground or above ground;and c. Providing emergency access by the local fire department and any other emergency services,and for providing ingi�ess and egress for garbage trucks and other service velucles. 2. No Undue Burden. Macintosh acknowledges that BARNES/BERLAGE may subdivide the BARNES/BERLAGE Property into additional pazcels in accordance with county and local ordinances and each of such subdivided pazcels shall be benefitted by this Easement Agreement and that such subdivision shall not be considered an undue burdenupon the MacIntosh Trust Property. 3. MacIntosh's Initial Obligations. MacIntosh shall be responsible for obtaining all necessary govemment approvals to relocate the easement azea and has built a new access road across such area.MacIntosh shall be responsible for all costs of a new certified survey map acceptable to Sawyer Counry.The new access road across the "MacIntosh Trust Property New Easement Area"is sufficient enough to provide the necessary vehicular access to the BARNESBERLAGE Property.MacIntosh shall not be responsible for snow removal or maintenance of such access road. 4. Release of Certain Easement Rights by BARNESBERLAGE. Upon MacIntosh receiving all govemmental approvals for the relocation of the easement azea and the completion of construction of the new access road described above and recording of the new certified survey map,BARNESBERLAGE releases any and all easement rights provided,created,or implied by the"Existing Easement Grants"or any other easement grants or reservations over the"MacIntosh Trust Property". 5. Continuing Obligations. The parties shall comply with all existing laws, regulations,and ordinances and the parties shall not cause or allow injury to the MacIntosh Trust Properry I�Tew Easement Area. 6. Consistent Uses Allowed. MacIntosh reserves the right to use the"MacIntosh Trust New Easement Area"for purposes that wil]not interfere with BARNESBERLAGE`s 2 of 8 - . 444441 3 of 9 full enjoyment of the rights granted in this Agreement. � ' 7. Covenants Run W ith The Land. All of the terms and conditions in ihis Agreement,including the benefits and burdens, shall mn with the land and shall be binding upon,and inure to the benefit of,and be enforceable by MacIntosh and � BARNES/BERLAGE as owners of the Property and their respective successors and assigns. 8. Non-Use. Non-use or limited use of the Easement rights granted in this Agreement � shall not prevent BARNESBERLAGE or its successors from later use of the Easement rights to the fullest extent authorized in this Agreement. 9. Governing Law. This Agreement shall be construed and enforced in accordance with the internal laws of the State of Wisconsin. 10. Enrire Agreement. The parties agree that all previous easement agreements and restrictive covenants regazding access aze hereby amended and restated into this Agreement. This Agreement sets forth the entire understauding of the parties and may not be changed except by a written document executed and acknowledged by all parties to this Agreement and duly recorded in the office of the Register of Deeds of Sawyer County, Wisconsin. ' 11. Notices. All notices to any party to this Agreement shall be delivered in person or sent by certified mail,postage prepaid,retum receipt requested, to the other i parry at that party's last known address. If the other party's address is not known to the party desiring to send a notice, the party sending the notice may use the address to which the other party's property tax bills are sent. 12. Invalidity. If any term or condition of this Agreement, or the application of this Agreement to any person or circumstance, shall be deemed invalid or unenforceable, the remainder of the Agreement, or the application of the term or condition to persons or circumstances other than those to which it is held invalid or unenforceable, shall not be affected thereby, and each term and condition shall be valid and enforceable to the fullest extent permitted by law. 13. Waiver. No delay or omission by any party in exercising by any party in exercising any right or power arising out of any default under any terms or conditions of this Agreement shall be constmed to be a waiver of the right or power. A waiver by a party of any of the obligations of the other party shall not be construed to be a waiver of any breach of any other terms or conditions of this Agreement. 14. Enforcement.
