I, DOROTHY GILL RAYMOND, being duly sworn, depose and
say:
I am the scrivener of the deeds referred to on Exhibit
A hereto made between Marcus Communications, Inc. , a
Delaware corporation ("Grantor") and Marcus Communications,
Inc. , a Texas corporation ("Grantee") to each of these deeds
erroneously recited the name of Grantor as Marcus
Communications, Inc. , which name should be and is hereby
corrected to read WestMarc Cable Holdings, Inc. , said
Grantor having changed its name from Marcus Communications,
Inc. to WestMarc Cable Holdings, Znc. on November 22 , 1988 .
Furthermore, the officers who executed said deeds were the
officers as recited and were authorized to execute on behalf
of WestMarc Cable Holdings, Inc.

between MARCUS CABLE PROPERTIES , INC. , a Delaware
corporation , as successor in interest by operation of inerger
to MARCUS COMMUNICATIONS , INC . , a Texas corporation , party
of this first part , and MARCUS CABLE PARTNERS , L. P. , a
Delaware Limited Partnership, part of the second part .
WITNESSETH , That the said part of the first part, for
and in consideration of the sum of $1 . 00 and other valuable
consideration to it in hand paid by the said party of the
second part , the receipt whereof is hereby confessed and
