GROUND LEASE
This Ground Lease("Lease"), made this (��` day of 201�,
by and between PLUM CREEK TIMBERLANDS, L.P, a Delaware limi�ership,
hereinafter referred to as"PLUM CREEK ",whose address is 999 Third Avenue, Suite
4300, Seattle,Washington 98104,and Wisconsin RSA#2 Partnership dPo/a Verizon
Wireless whose address is 180 Washington Valley Road, Bedminster, New Jersey
07921 ("LESSEE").
1. Premises. PLUM CREEK hereby leases to LESSEE and LESSEE
hereby leases from PLUM CREEK a portion of PLUM CREEK'S real property ("the
Property") located in the SW1/4 of the SW1/4 of Section 6, T39N, R6W, Town of
Ojibwa, Sawyer County,Wisconsin, containing 1,507 square feet together with ingress,
egress and utility easements as described in paragraph 5 below, all as shown on the
map attached hereto as Exhibit "A' and incorporated herein (collectively the
PREMISES). The Premises are leased for the express purpose of constructing,
operating,repairing and maintaining a communications facility,including,but not limited
to a communications tower (the "Tower"), equipment shelters, a fence (around the
Tower base)and related equipment(collectively the"Structures").
2. Term. The term of this Lease shall be for a period of ten (10) years,
commencing on the Commencement Date(as defined herein). Prior to installation of its
Structures on the Premises,LESSEE shall deliver written notice of intent to commence, I
together with payment of the frst annual rent to PLUM CREEK. The Lease shall
commence on the earlier of: (a) the first day of the month in which PLUM CREEK
receives said written notice and initial annual rental payment or(b)the first day of the
month following the date that is twelve months after the full execution of the Lease
(either the "Commencement Date"). This Lease shall automatically be extended for
three(3)additional terms of five(5)years each unless LESSEE terminates it at the end
of the then current term by delivering to PLUM CREEK a written notice of LESSEE's
intent not to renew this Lease not less than ninety(90)days before the expiration of the
then-current Lease term. The initial term and all renewal terms are referred to herein as
the"Term."
3. Rent. LESSEE shall make annuai rental payments to PLUM CREEK in
advance on or before the Commenc en D uring the term of this Lease.The rent
for the first year of the Term shall be�Paid in advance,which LESSEE shall
pay to PLUM CREEK at such place, as PLUM CREEK shall designate to LESSEE in
writing. The annual rental ach anniversary of the Commencement
Date by an amount equal to��of the rent for the previous lease year.
4. Collocation. LESSEE shall have the right to sublet or license all or any
portion of LESSEE's improvements, including but not limited to the tower, along with

rights for ingress, egress, or the placement of lines across the Premises, to subtenants
or licensees without PLUM CREEKS's consent, provided that any subtenant or licensee
first enters into a separate ground lease with PLUM CREEK for additional ground space
outside the Premises or pays a fee to PLUM CREEK in lieu thereof. PLUM CREEK
agrees to negotiate with any potential subtenant or licensee of LESSEE in good faith for
said ground lease or payment in lieu thereof.
5. Ingress, Egress, and Utility Easement. PLUM CREEK hereby grants
to LESSEE a twenty-foot wide (20') easement for ingress, egress, regress, and utilities
over the property of PLUM CREEK adjacent to the Premises for construction and
maintenance of the Structures on the Premises, for the installation, construction and
maintenance of underground and above ground telephone, telegraph, and power lines
in connection with its use of the Premises, and for access to the Premises from a public
road (the "EasemenY').
a. The term of this Easement shall commence upon the Commencement
Date of this Lease and shall continue until the latter of: (i) the expiration of the Lease
term; or (ii) the removal by LESSEE of all of its property from the Premises after
expiration of the Lease term.
b. The location and configuration of the Easement shall be as set forth in
Exhibit A hereto, and shall be included in any recorded Memorandum of this Ground
Lease. In addition, at LESSEE's request and expense, this Easement shall be set forth
in a separate Easement Agreement which PLUM CREEK and LESSEE agree to
execute and which LESSEE shall have recorded as an encumbrance on the property of
PLUM CREEK and binding upon all subsequent owners, successors, and assigns.
6. Titie and Quiet Possession. PLUM CREEK represents and covenants
that PLUM CREEK owns the Premises subject to the Easement, free and clear of all
liens, encumbrances, and restrictions of every kind and nature, created by or though
PLUM CREEK except for those which currently appear of record. PLUM CREEK
covenants that LESSEE, on paying the rent and performing the covenants herein, shall
peaceable and quietly have, hold and enjoy the Premises free from all claims arising by
or through PLUM CREEK, except claims arising under instruments which were of record
prior to the date of this Lease.
7. Governmental Approvals and Compliance. During the Term of this
Lease, LESSEE shall comply with all applicable laws affecting the Premises. LESSEE
shall obtain any necessary governmental licenses or authorizations required for the
construction and use of the Structures on the Premises and shall comply with
government regulations applicable to its operations, including those of the Federal
Aviation Administration and the Federal Communications Commission. It is understood
and agreed that LESSEE's ability to use the Premises is contingent upon its obtaining
after the execution date of this Lease, a�l of the ceRificates, permits and other approvals
that rnay be required by any Federal, State or Local authorities as well as satisfactory
soil boring tests which will permit LESSEE use of the Premises as set forth above. ,

LESSEE shaN have the right to terminate the Lease in the event any of such
applications for such government approvals should be finally rejected, any
governmental approval issued to LESSEE is canceled, expires, lapses, or is otherwise
withdrawn or terminated by governmental authority or LESSEE determines that such
governmental approvals may not be obtained in a timely manner.
8. Assignment and Subleasing. This Lease may be sold, assigned or
transferred by the LESSEE without any approval or consent of PLUM CREEK to the
LESSEE's principal, affiliates, subsidiaries of its principal or to any entity which acquires
all or substantially all of LESSEE's assets in the market defined by the Federal
Communications Commission in which the Premises is located by reason of a merger,
acquisition or other business reorganization. As to other parties, this Lease may not be
sold, assigned or transferred without the written consent of PLUM CREEK, which such
consent will not be unreasonably withheld, delayed or conditioned. No change of stock
ownership, partnership interest or control of LESSEE or transfer upon partnership or
corporate dissolution of LESSEE shall constitute an assignment hereunder. Any
sublease that is entered into by LESSEE shall be subject to the provisions of this Lease
and shall be binding upon the successors, assigns, heirs and legal representatives of
the respective Parties hereto.
9. Notices. All notices, demands, requests, consents, approvals, and other
instruments required or permitted to be given by this Lease shall be in writing, signed by
the notifying party, of officer, agent, or attorney of the notifying party, and shall be
deemed to have been effective upon delivery if served personally, including, but not
limited to, delivery by messenger, overnight courier service, or by overnight express
mail, or upon posting if sent by registered or certified mail, postage prepaid, retum ;
receipt requested, and addressed as follows:

The address to which any notice, demand, or other writing may be delivered to
any party as above provided may be changed by written notice given by such party as
above provided.
10. Lessee Improvements. LESSEE shall have the right, at its sole
expense, to make such improvements to the Premises, as it may deem necessary,
including site improvements and constructing Structures for the creation and operation
of a communications facility. All of LESSEE's improvements, including, but not limited
to,all structures,shall remain the property of LESSEE. Upon termination of this Lease,
LESSEE shall, remove the communications facility and restore the Premises to its
condition at the commencement of this Lease, except for ordinary wear and tear and
damages by the elements or damages over which LESSEE had no control.
11. Insurance. LESSEE covenants and agrees to obtain and maintain during
the Term of this Lease the following minimum insurance coverage:
General Liabilitv. Commercial General Liability insurance covering claims for
bodily injury, death and property damage, including Comprehensive Form,
Premises and Operations, Independent Contractors, Products and Completed
Operations, Personal Injury, Contractual, Third Party Property Damage, Cross
Liability and Hostile Fire liability coverages, with a combined single limit of
$2,000,000 for bodily injury,death and property damage each or per occurrence
and $2,000,000 general aggregate. Additionally, the policy shall not exclude X,
C or U(Explosion,Collapse or Underground)
Automobile Liabilitv. Commercial Automobile Liability insurance covering owned,
non-owned, hired and other vehicles,with a combined single limit of$1,000,000
for bodily injury, death and property damage per occurrence and $1,000,000
general aggregate.
Fire and Extended Coveraqe Insurance on Improvements and Personalty.
During the Term of this Lease, LESSEE shall keep all improvements,
installations, machinery and equipment placed by it and all other personal
property placed by it on the Leased Premises continuously insured against loss
or damage by theft, fire or lightning (with extended coverage if available) in an
amount equal to the repiacement cost thereof, subject to reasonable and
customary deductibles.
Workers' Comoensation. LESSEE covenants and agrees that all employees of
LESSEE or any other persons performing work on the Leased Premises
pursuant to this Lease will be fully covered by or insured always by Workers'
Compensation.LESSEE shall comply with all applicabie Workers'Compensation
laws, rules and regulations of the State of Georgia and shall make all necessary
contributions or other payments.

Emplover's Liabilitv. Employer's Liability insurance in an amount of not less than
$500,000 each accident.
All certificates of insurance furnished by LESSEE to evidence insurance
coverage shall provide for thirty days written notice by the insurance company to
the designated representative of Plum Creek before cancellation (10 days notice
shall apply to non-payment). All liability insurance policies shall be written on an
"occurrence" policy form and by insurance companies with a BesYs Key Rating
Guide of B+ or better, with a minimum financial rating of at least VI. If LESSEE
fails at any time to maintain the insurance coverage as required above, LESSEE
shall cease operations immediately and shall not resume operations pursuant to
this Lease until after the failure has been corrected. Plum Creek and Plum Creek
Timber Company, Inc. and its subsidiaries and/or affiliates shall be named as an
Additional Insured on the commercial general and automobile liability coverage.
The additional insured endorsement must be ISO CG20 10 11 85 or its
substantial equivalent. LESSEE shail be responsible for payment of any and all
deductibles from insured claims under its policies. The coverage afforded under
any insurance policy obtained by LESSEE pursuant to this Paragraph shall be
primary coverage, but only with respect to LESSEE's liabilities assumed under
this Lease, regardless of whether or not Plum Creek has similar coverage.
LESSEE shall not perform any operations on the Leased Premises unless and
until evidence of such insurance, including renewals thereof, has been delivered
to and approved by Plum Creek. LESSEE shall not self-insure any of the
insurance coverages required by this Lease without the prior written consent of
Plum Creek, which shall not be unreasonably withheld. The minimum limits of
coverage required by this Lease may be satisfied by a combination of primary
and excess or umbrella insurance policies. The maintenance of this insurance
shall not in any way operate to limit the liability of Contractor to Plum Creek
under this Lease.
LESSEE shall give Plum Creek's Lease Manager a certificate of insurance
evidencing the above coverage before conducting any operations on the Leased
Premises. The certificate shall provide for 30 days written notice by the insurance
company to the designated representative of Plum Creek before cancellation. If
LESSEE fails at any time to maintain the insurance coverage as required above,
LESSEE shall cease operations on the Leased Premises immediately and shall
not resume operations until the failure has been corrected. The coverage
afforded under any insurance policy obtained by LESSEE pursuant to this
paragraph shall be primary coverage, but only with respect to LESSEE's
liabilities assumed under this Lease, regardless of whether or not Plum Creek
has similar coverage.
12. Operating Expense. LESSEE shall fully and promptly pay for all water,
gas, heat, light, power, telephone service, and other public utilities furnished to the
Premises and used by LESSEE throughout the term hereof, and for all other costs and

expenses of every kind whatsoever in connection with the use, operation, and
maintenance of the Premises and all activities conducted thereon.
13. Damage to PLUM CREEK's Property. LESSEE agrees and covenants
to pay PLUM CREEK, in an amount not to exceed $1,000.00, for any of PLUM
CREEK's timber destroyed or damaged from acts or omissions of LESSEE, its
employees, agents, or contractors in the exercise of the rights and obligations under this
Lease. LESSEE shall make such payment within 30 days of receipt of an invoice from
PLUM CREEK detailing the damage.
14. Defaults and Remedies. LESSEE shall be in "DefaulY' if it shall at any
time fail to pay rent br make any other payments required of LESSEE under this Lease,
and the failure continues for 15 days after receipt of written notice from PLUM CREEK
or if LESSEE has not cured any other breach of this agreement within 30 days of receipt
of written notice of such breach, provided LESSEE shall have such extendeii period as
may be required beyond the thirty (30) days if the nature of the cure is such that it
reasonably requires more than thirty (30) days and LESSEE commences the cure within
the thirty (30) day period and thereafter continuously and diligently pursues the cure to
completion. If the failure is not a failure to pay rental or any other sum of money
hereunder but is not capable of being cured within a thirty (30) day period, LESSEE
shall be afforded a reasonable period of time to cure the failure provided that LESSEE
promptly commences curing the failure after the notice and prosecutes the cure to
completion with due diligence. If LESSEE is in Default, PLUM CREEK may terminate
this Lease and/or subject to the limitations contained herein, pursue any remedy now
or hereafter available to PLUM CREEK under the Laws or judicial decisions of the state
in which the Premises are located. LESSEE shall have 180 days after receipt of notice
of such termination to remove its Structures.
PLUM CREEK shall be in "DefaulY' in the event there is a breach by PLUM
CREEK with respect to any of the provisions of this Lease or its obligations under it.
LESSEE shall give PLUM CREEK written notice of such breach. After receipt of such
written notice, PLUM CREEK shall have thirty (30) days in which to cure any such
breach, provided PLUM CREEK shall have such extended period as may be required
beyond the thirty (30) days if the nature of the cure is such that it reasonably requires
more than thirty (30) days and PLUM CREEK commences the cure within the thirty (30)
day period and thereafter continuously and diligently pursues the cure to completion. In
the event of a default by PLUM CREEK, LESSEE may terminate the Lease and/or
subject to the limitations contained herein, pursue any remedy now or hereafter
available to LESSEE under the Laws or judicial decisions of the state in which the
Premises are located.
15. No Waiver. A waiver by PLUM CREEK of any Default under this Lease
shall not prevent the right of PLUM CREEK to forteit this Lease for any other cause, or
for the same cause occurring at any other time. The receipt by PLUM CREEK from
LESSEE of payments after the occurrence of any Default, or the continued recognition

by PLUM CREEK of LESSEE as its tenant after the occurrence of any Default shall not
be deemed a waiver of PLUM CREEK's right of forfeiture, so long as the cause of
forFeiture continues to exist. Receipt and acceptance by PLUM CREEK of any amounts
tendered by LESSEE shall not constitute an agreement by PLUM CREEK that the
amounts are the proper amounts due or a waiver of PLUM CREEK's claims for greater
amounts. All payments by LESSEE to PLUM CREEK shall apply on the items longest
past due, and the receipt of any such payment shail not be a waiver either of the right of
distress or the right of forfeiture or any other remedy available to PLUM CREEK with
respect to items which remain undischarged after crediting the payments.
16. Taxes. PLUM CREEK sha�l pay when due all real property taxes and all
other fees and assessments attributable to the Premises. However, LESSEE shall pay,
within 30 days of receipt of invoice, any increase in real property taxes levied against
the Premises, which is attributable to LESSEE's improvements to the Premises,
including increases in real estate taxes as a result of exiting the Managed Forest Law
(MFL) Program and reverting to Ad Valorem taxes. LESSEE shall also be responsible
for initi by the Wisconsin DNR, in an amount not to
exceed , which LESSEE shall pay to PLUM CREEK
within 3 ays o receip o a e ai e invoice. PLUM CREEK agrees to furnish proof of
such increase in taxes to LESSEE.
17. Maintenance. LESSEE shall maintain the Premises in good condition
and state of repair. PLUM CREEK shall maintain its property adjacent to the Premises
in good condition and state of repair to avoid interterence with LESSEE's use of the
Premises and Easement.
18. Hold Harmless. LESSEE shall hold PLUM CREEK harmless from any
liability (including reimbursement of reasonable legal fees and all costs) for damage to
any person or any property in or upon the Premises at LESSEE's invitation, or for
damages to property resulting from the physical structure or actions of LESSEE
(including damages caused by or resulting from the existence of the instalied, kept,
stored, or maintained Structures). PLUM CREEK shall not be responsible for any loss
or damage to the Structures or equipment owned by LESSEE which might result from
tornadoes, lightning, wind storms, or other Acts of God; provided, however, PLUM
CREEK shall be responsible for damages to any person or any property in or upon the
Premises arising out of the willful misconduct or negligence of PLUM CREEK or any of
PLUM CREEK's agents, servants, employees, invitees or licensees. Except as
otherwise provided herein, neither PLUM CREEK nor LESSEE shall in any event be
liable in damages for each other's business loss, business interruption, or other
consequentiai damages of whatever kind or nature (except claims for personal injury or
property damage), regardless of the cause of such damages, and each party, and
anyone claiming by or through them, expressly waives all claims for such damages.
19. Lessee's Performance and Surcender. LESSEE shali pay the rent and
a�l other sums required to be paid by LESSEE hereunder in the amounts, at the times,

and in the manner herein provided, and shall keep and perform all terms and conditions
hereof on its part to be kept and performed, and at the expiration or sooner termination
of this Lease, surrender to PLUM CREEK, the Premises subject to the other provisions
of this Lease. Within six months after the date of the termination or expiration of this
Lease, LESSEE shall remove its building(s), antenna structure(s) (except footings),
equipment, conduits, fixtures and all personal property that has been placed upon the
Premises by LESSEE. Any such property not so removed within six months after
termination or expiration of this Lease shall, at PLUM CREEK's option, be and become
the property of PLUM CREEK or be removed from the Premises at the direction of
PLUM CREEK, but at the sole risk and expense of LESSEE.
20. Right to Terminate. LESSEE may terminate this Lease, at its option,
after giving not less than thirty (30) days' notice to PLUM CREEK, if the premises are
damaged or destroyed to an extent that prohibits or materially interferes with LESSEE's
use of the Premises, or upon 12 months prior notice to PLUM CREEK if the Premises
are or become unacceptable under LESSEE's design or engineering specifications for
its antenna facilities or the communications system to which the antenna facilities
belong. If LESSEE terminates the Lease under this provision, it shall be relieved of all
further liability under this Lease following the removal of its improvements as provided
in this Lease. Any rental fees paid before the termination date shall be retained by
PLUM CREEK. PLUM CREEK may terminate this Lease at any time after the
fifteenth anniversary of the Commencement Date by providing LESSEE with 12 months
prior written notice of its intent to terminate.
21. Binding on Successors. The covenants and conditions contained herein
shall appiy to and bind the heirs, successors, executors, administrators and assigns of
the parties hereto.
22. Access to Premises. In addition to the Easement granted in Section 4,
LESSEE and its engineers, officers, employees, agents, and contractors shall have full
access seven days a week, twenty-four hours a day to the Premises during the Lease
Term, consistent with PLUM CREEK's standard property security policy.
23. Governing Law. The parties intend that this Lease and the relationship of '
the parties shali be governed by the laws of the State of Wisconsin.
24. Entire Agreement. All of the representations and obligations of the
parties are contained herein, and no modification, waiver, or amendment of this Lease
or of any of its conditions or provisions shall be binding upon a party unless in writing
signed by that party or a duly authorized agent of that party empowered by a written
authority signed by that party. The waiver by any party of a breach of any provision of —
this Lease shall not operate or be construed as a waiver of any subsequent breach of
that provision by the same party, or of any other provision or condition of the Lease.

25. Oil, Gas, and Mineral Rights. PLUM CREEK does not grant, lease, let,
or demise hereby, but expressly excepts and reserves from this Lease all rights to oil,
gas, and other minerals in, on, or under and that might be produced or mined from the
Premises; provided, however, that no drilling or other activity will be undertaken by or
thorough PLUM CREEK on the surface of the Premises to recover any oii, gas, or
minerals during the Term hereof. This Lease is given and accepted subject to the terms
and provisions of any valid oil, gas, and mineral lease covering the Premises or any part
thereof, now of record in the office of the County Clerk; provided, however, that any
future oil, gas, or mineral lease covering the above-described lands or any part thereof
shall be in all respects subordinate and inferior to the rights, privileges, powers, options,
and immunities, and interests granted to LESSEE under the terms of this Lease.
26. Compliance with FCC Radio Frequency Requirements
(a) It shall be the responsibility of the LESSEE to ensure that LESSEE 's use,
instailation, or modification of LESSEE 's Equipment at the Site does not cause radio
frequency exposure levels at the Site to exceed those levels permitted by the Federal
Communications Commission ("FCC").
(b) LESSEE agrees that in the event that there is any change to applicable rules,
regulations, and procedures governing exposure to RF radiation which place the Site in
non-compliance, LESSEE will bring the Site into compliance.
27. Hazardous Waste.
a. PLUM CREEK represents and warrants to LESSEE that PLUM CREEK
has received no notice, nor does PLUM CREEK have any knowledge, that the
Premises or any part thereof is located within an area that has been designated by the
Federal Emergency Management Agency, the Army Corps of Engineers, or any other
governmental body as being subject to special hazards.
b. LESSEE shall defend and indemnify, and hold PLUM CREEK harmless
from and against any and all loss, liability, damage, injury, cost, expense and claims of
any kind whatsoever paid, incurred or suffered by, or asserted against, PLUM CREEK
for, with respect to, or as a direct or indirect result of the presence on or under, or the
escape, seepage, leakage, spillage, discharge, emission or release from the Premises
of any Hazardous Material arising out of, in connection with or in any manner related to
the use of the Premises by LESSEE, including, without limiting the generality of the
foregoing, any loss, liability, damage, injury, cost, expense or claim asserted or arising
under any current of future federal state or local, statues, law ordinances rules or —
regulations, designed to protect the environment, except as such presence on or under,
or such escape, seepage, leakage, spillage, discharge, emission or release is the result
of the misconduct, active negiigence or gross negligence or PLUM CREEK, its
employees, agents, assigns or invitees.

c. PLUM CREEK shall defend and indemnify, and hold LESSEE harmless
from and against any and ali loss, liability, damage, injury, cost, expense and claims of
any kind whatsoever paid, incurred or suffered by, or asserted against, LESSEE for,
with respect to, or as a direct or indirect result of the presence on or under, or the
escape, seepage, leakage, spillage, discharge, emission or release at the Property of
any Hazardous Material (as hereinafter defined) arising out of, in connection with or in
any manner related to the use of the Property by PLUM CREEK, including, without
limiting the generality of the foregoing, any loss, liability, damage, injury, cost, expense
or claim assehed or arising under any Environmental Laws (as hereinafter defined).
This indemnity along with the indemnity contained in Paragraph 18 shall survive the
expiration or earlier termination of this Lease.
28. Mechanics' Liens. LESSEE will not cause any mechanics' or
materialman's iien to be placed on the Premises, and LESSEE agrees to indemnify,
defend, and hold harmless PLUM CREEK from any such lien from a party claiming by,
through, or under LESSEE.
29. Headings. The headings of sections and subsections are for covenant
reference only and shall not be deemed to limit construe, affect, modify, or alter the
meaning of those sections or subsections.
30. Time of Essence. Time is of the essence for PLUM CREEK's and
LESSEE's obligations under this Lease.
31. Severability. If any section, subsection, term, or provision of this Lease
or the application thereof to any party or circumstances shall, to any extent, be invalid or
unenforceable, the remainder of that section, subsection, term, or provision of the Lease
or the application of same to parties or circumstances other than those to which it was
held invalid or unenforceable, shall not be affected thereby and each remaining section,
subsection, term or provision of this Lease shall be valid or enforceable to the fullest
extent permitted by law.
32. Real Estate Broker. Each party represents and warrants to the other that
such party has not signed a listing agreement, dealt with or otherwise agreed to pay a
broker's commission to anyone in connection with the Lease of the Premises or the
transaction contemplated by this Lease and each party agrees to indemnify and hold
other party harmless from and against any such claims or costs, including attorneys'
fees, incurred as a result of the breach of the foregoing warranties.
33. Further Assurance. Each of the parties agree to do such further acts —
and things and to execute and deliver such additional agreements and instruments as
the other may reasonably require to consummate, evidence, or confirm this Lease or
any other agreement contained herein in the manner contemplated hereby.

34. Right to Record. PLUM CREEK AND LESSEE agree to promptly
execute the Memorandum of Lease attached hereto as Schedule "1"
35. Interpretation. Each party to this Lease and its counsel have reviewed
and revised this Lease. The normal rule of construction to the effect that any
ambiguities are to be resolved against the drafting party shall not be employed in the
interpretation of this Lease or of any amendments or exhibits to this Lease.
36. Interference. PLUM CREEK shall not be allowed to use the surrounding
property within 500 feet of the Premises in any manner which would cause interference
with the operation of the communications facility. In the event there is interference due
to PLUM CREEK's actions or usage, PLUM CREEK shall immediately take all steps
necessary to eliminate the interference including, if required, cutting off power to the
objectionable equipment. Based on standard and accepted engineering practices, if
PLUM CREEK cannot eliminate the interference within twenty-four (24) hours of its
inception, PLUM CREEK shall immediately remove the objectionable equipment and/or
cease operations.
37. Security Interest. It is the express intent of the parties to this Agreement
that PLUM CREEK have no security interest whatsoever in any personal property of
LESSEE, and, to the extent that any applicable statute, code, or law grants PLUM
CREEK such an interest, PLUM CREEK does hereby expressly waive any rights
thereto.
38. Right of First Refusal. If PLUM CREEK elects, during the Term to grant
to a third party by easement or other legal instrument an interest in and to the Premises
for the purpose of operating and maintaining communications facilities or the
management thereof, with or without an assignment of this Lease to such third party,
LESSEE shall have the right of first refusal to meet any bona fide offer of transfer on the
same terms and conditions of such offer. If LESSEE fails to meet such bona fide offer
within thirty (30) days after written notice thereof from PLUM CREEK, PLUM CREEK
may grant the easement or interest in the Premises to such third person in accordance
with the terms and conditions of such third party offer. LESSEE agrees that the right of
first refusal provided in this Section 38 shall not apply to the sale by PLUM CREEK of
the Property.
39. Rights Upon Assignment. Should PLUM CREEK, at any time during the
Term decide to grant to a third party by easement or other legal instrument an interest in
and to the Premises occupied by LESSEE for the sole purpose of operating and
maintaining communications facilities or the management thereof, such grant of an
easement or interest therein shall be under and subject to this Lease and any such —
purchaser or transferee shall recognize LESSEE's rights hereunder under the terms of
this Lease. To the extent that PLUM CREEK grants to a third party by easement or
other legal instrument an interest in and to the Premises occupied by LESSEE for the
sole purpose of operating and maintaining communications facilities or the management

thereof and in conjunction therewith, assigns this Lease to said third party, PLUM
CREEK shall not be released from its obligations to LESSEE under this Lease, and
LESSEE shall have the right to look to PLUM CREEK and the third party for the full
performance of this Lease. LESSEE agrees that the provisions of this Section 39 shall
not apply to the safe by PLUM CREEK of the Property.
40. Subordination and Non-Disturbance. At PLUM CREEK's option, this
Lease shall be subordinate to any future master lease, ground lease, mortgage, deed of
trust or other security interest (a "Mortgage") by PLUM CREEK which from time to time
may encumber all or part of the Property or right-of-way; provided, however, as a
condition precedent to LESSEE being required to subordinate its interest in this Lease -
to any future Mortgage covering the Property, PLUM CREEK shall obtain for LESSEE's
benefit a non-disturbance and attornment agreement for LESSEE's benefit in the form
reasonably satisfactory to LESSEE and shall recognize LESSEE's right to remain in
occupancy of and have access to the Premises as long as L.ESSEE is not in default of
this Lease beyond applicable notice and cure periods. In the event PLUM CREEK
defaults in the payment and/or other performance of any mortgage or other reaf
property interest encumbering the Property, �ESSEE, may, at its sole option and
without obligation, cure or correct PLUM CREEK's default and upon doing so, LESSEE
shall be subrogated to any and al! rights, titles, liens and equities of the holders of such
mortgage or other real property interest and LESSEE shall be entitled to deduct and
setoff against all rents that may otherwise become due under this Lease the sums paid
by LESSEE to cure or correct such defaults.
