Kelsey Road, Hayward, Wisconsin 54843, the sum of $2,400,000.00 in thc
lollowing manner: (a) $1,200,000.00 at the execution of tl�is Convact,the receipt of which is hereby acknuwledged by Vendor,
and(b)the balance of$1,200,000.00, together with interest Crom date hereof on the balance outstanding frum time to ume at
the rate o(seven percent(7%) per annum until paid in full, as follows: In one final payment consisling o(principal and

Provided,however,the entire outstanding balance shall be paid in full on or before the 3rd day of January, 2000. (the

Pollowing any default in payment,interest shall accme a[��e rate of twelve percent(12°/a)per azumm on tlie entire amount
in default(which shall include, without limitation, delinquent interest and, upon accelera[ion or matunty; tlie enhre principal

Payments shall be applied first to interesl on the unpaid balance at Ihc rate specified and then to principal. There may be
no prepayment of principal without permission of Vec�dor.
In the event of any prepayment,this contract shall not be treated as in defaull with respect to payment so long as the unpaid

is less than die amount that said indebtedness would have been had ll�e monthly payments been made as first specified above;

Contract. Purchaser shall pay the insurance prcmiwrvs when due. The policies shall con[ain the standard clause in Cavor uf tlie
Vendor's interest and, unless Vendor otherwise agrees in wriling, the original of all policies covering the Property shall be
deposited wiU�Vendor. Purc6aser shall promptly give notice of loss to insurance companies and Vendor. Unless purchaser ar,d
Vendor otherwise agree in writing, insurance proceeds shall be applied to restoration or repair of(he Property damaged,
provided the Vendor deems t6e restoration or repair to be economically teasible.
Purchaser covenants not to commit waste nor allow waste to be committed on the Property, to keep the Properry in good
tenantable condition and repair, to keep the Property free Gom liens superior ro Ihe lien of this Contracl, and lo comply wi�h
all laws, ordinances and regulations affecting the Property.
Vendor agrees that in case Ihe purchase price with interesl and other moneys shall be (ully paid and all conditions sha l

during the pendency oCsuch action,and such rents,issues,a��d profits when so collected shall be held and applied as the court
shall ditect.
Purchaser shall not transfer, sell or convey any legal or equitable interest in the Proper[y (by assignment of any of
Purchaser's righLs under tliis Coniraet or by optiun, long-term leasc or in any other way)without the prior written couseni uf
Vendor unless eillier Ihe outstanding balance payable under this Coutract is first paid in full or��e interest conveyed is a pledge
or assignment of Purchaser's interes[under Ihis Conlract solely as security for an indebtedness of Pu�chnser. lu the eveni o(
any such transfer, sale or conveyance without Vendor's written consent, the entire outstanding balance payable under this
Contract shall become inunediately due and payable in full,at Vendor's option without notice.
Vendor shall make all payments when duc under any moRgage ou(standing against the Properly on tl�e date of this Convact
(cxcept for any mongage granted by Purchaser)or under any note sewred d�ereby,provided Purchaser makes timely paym�:nt
of the amounts then due under tl�is Contract. Purchaser may make any sucli payments d'uecdy to the Mortgagee if Vendor tails
to do so and all payments so made by Purchaser shall be considered payments on this Conhact.

i�nmunity widi respect to d�is Land Convact and the sale between Vendor and Purchaser, a�d further stipulates and agrees, �hat
the venue and jurisdiction for the resolution of any disputes regarding this matter shall be in the courts of the State of
W isconsin.
7lie Purchaser,as Debtor,and the Vendor, as Secured Parly,have executed one ceAain UniCorm Conunercial Code Chauel
Security Agreement bearing even dale herewith, by which Purchaser, as Debtor, has granted the Vendor, as Securcd Party, a
Unifomi Conunercial Code Chattel Security Interes[ in certain fixtures, personal propedy, equipment, and inventory, which
are a part oCthis transaction. A breach by the Purcl�aser, as Debtor, of the Chattel Security Agreement shall, at the option o(
the Vendor,be deemed a breach of tl�is Lai�d Contract, A breach of this Land CaiVact by the Yurchaser shall, at the oplion of
the Vendor,as Secared Party, be deemed a breach of the said Chattel Security Agreement.
The Purehaser covena��ts and agrees that it shall not assign lhe liquor license afCecting the premises separately Gom tlie
premises being sold without the written pennission of the Vendor. In the event of a default upon the Land Contrac[ and u
foreclosure of d�e same, the Purchaser agrees ro reassign the liquo� licensc and all of Purchaser's rights �herein to lhe Vendor.
