In the event Grantee desires to offer the subjectproperty (or any part thereof) for sale, Grantee shall notify the WisconsinDepartment of Natural Resources (DNR) in writing (addressed to Secretary,Wisconsin Department of Natural Resources, P.O. Box 7921, Madison, WI53707) of Grantee's intention to sell the property and shall state a price therefore.In the event the subject property is offered for sale in conjunction with otherproperty, the whole parcel being offered will be considered in the fiist right topurchase. The DNR shall then have 45 days foom the date of receipt of said noticeto exercise its right to purchase said property by notifying Grantee in writing ofits intent to purchase the property for the price stated.If the DNR wishes to purchase the property, but not for the price stated, it shallnotify Grantee in writing of same within 45 days of receipt of Grantee's notice,and it shall provide the Grantee with a full narrative appraisal of the property bya quaUfied appraiser within 90 days ofreceipt ofGrantee's notice of desire to sell.In making the appraisal the appraiser shall confer with the Grantee, if possible.Upon receipt of the DNR's appraisal, the Grantee may elect to sell the propertyto the DNR for the price stated therein. If said price is not acceptable to theGrantee, the Grantee shall within 60 days ofreceipt ofthe DNR's appraisal obtainan appraisal by a qualified appraiser of the property to be sold and provide a copyto the DNR. The parties shall then within 30 days attempt to negotiate a price forthe property to be sold.If after said 30 day period the Grantee and the DNR are unable to agree upon aprice, the Grantee may then sell the subject property free and clear of all of therestrictions created by the Option to Purchase.In the event the DNR fails to notify Grantee in writing within the time stated ofits exercises of its option to purchase the property, Grantee shall be free to sell theproperty to a third party at any time during the one-year period following theexpiration of said time period; provided, however, that any purchaser of theproperty, as well as any successor to or heir of Grantee, shall take the propertysubject to all ofthe terms and conditions set forth above, as the rights granted theDNR herein shall be construed to be covenants running with the property, untilsaid time as they are released in writing by the DNR.In the event of any conveyance by Grantee to the DNR, the following condiUonsshall apply:A. The DNR shall pay the cost of all appraisals required herein.B.
