SAWYER COUNTY MUNICIPAL AIRPORT
HANGAR AREA LEASE
TNIS AGREEMENT, made and entered into on the date indicated below by
and between Sawyer' County, a political eubdivislon of the State of Wieconsin,
hereinafter called the Lesaor, and North Lakes Aviation, Inc., a Wisconein
Corporation', hereinafter called� the Lessee. �
WITNESSETH;
WHEREAS, the Lessoc owns and operatea an airport known as the Sawyer
County Municipal Airport at Hayward, W4aconain and eaid Leasee is deairous of
leasing from the Lessor a certain parcel of land on the said airport premisee,
hereinafter more fully described, for the purposea of storing aircraft and
operating an air charter service; and
WHEREAS, the Lessee will use the property described below for the
purposes of s[oring aircraft in a hangar and for office purposea, airctaft
charter 6 air taxi and for Elight instruction purposes and ehall conduct only
�uch aircraft maintenance on Lessee' s own aircraft as performed by t�e Lessee
or by its regular employees;
NOW THEREFORE, for and in conaideration of the rental chargea, cove-
nants and the agreements herein contained, the Lessee does hereby hire, take
and lease from the Lessor and the Lessor doea hereby grant, demiae and lease
unto the Leseee the Eollowing premiaea, righta and easemente on and to the
eirport upon the following terms and condltions:
1. PROPERTY DF.SCRIPTION: See attached Schedule "A" . (Lot 1)
2. HANGER CONSTRUCTION: The Lessee shali have the right to erect,
maintain and alter buildinga or etructures upon eaid premisea providing such
bulldings or s[ructures conform to the Building Code Requirements of the
Wisconein Department of Induatry, Labor 6 H�nnan Relations and pertinent pro-
vieions of any local ordinances in effect. All plane for euch building or
structurea shall be reviewed and approved in writing by the Lesaor prior to
conetruction and mus[ be in conformance with the requirements of the airport
master plan. The exterior construction of hangars and landacaping of the
grounde surrounding the eite ehall be completed within two (2) years from the
date of the Hangar Area Lease. It ie anticipated that a holding tank will be
conetruc[ed for the use of the Office to be located upon the premiees and an

easement- for the same is hereby granted as part of this lease for the construc-
tion and m8lntenance of the same. The Easement description for eaid holding
tank area ia net forth on Schedule "B" attached hereto and made a part thereof.
3. TERM: The term of this lease shall be for a perlod of twenty
(20) years commencing on July 1, 1990. Lessee shall have the right to renew
this lease for one additlonal`�successive ten (10) year period under the same
terms and conditions as set forth herein.
4. REN1: The lessee agrees to pay to the Lessor for the use of the
premises, rights and easements herein described, a yearly rental of ten (10)
cents per square foot of area (including holding tank area)
for the land leased, for a total annual charge of $661.40 , payable
on July 1, 1990 and on the same day of each year thereafter during the term of
this lease, except that the rental amount shall be renegotiated every five (5)
years from the date of the original contract. Any rate adjustment shall be
reasonable and shall not exceed [he average of the inflation rate during the
preceding five (5) years.
5. NON-EXCLUSIVE USE: The Lessee shall have the right to the non-
exclusive use, in common with others, of the airport parking areas, appur-
tenances and improvements thereon; the right to install, operate, maintain and
store, sub�ect to the approval of the Lessor in the interest of safety and
convenience of all concerned, all equipment necessary for the safe hangaring
of the Lessess's aircraft, the right of ingrese to and egress from the the
demised premises, which right shall extend [o Lessee' s employees, guests and
patrols; the right in common with others authorized to do so, to use common
areas of the airport, including runways, taxiways, aprons, roadways and other
conveniences for the take-off, flying and landing of aircraft, including but
not limited to the minimum standards ordinance. It is the intent of the Lessor
a[ this time to maintain and operate the Sawyer County Municipal Airport
during the entire term of this lease. Lessor cannot foresee any other entity
operating said facility nor does Lesaor know of any reason why the facility
would be closed or shut down.
6. LAWS AND REGULATIONS: The Lessee agrees to observe and obey
during the term of this lease all laws, ordinancea, rulea and regulation
promulgated and enforced by the Lessor and by other proper authority having
jurisdiction over the condnct of operation at the airport.

� 7. HOLD HARMLESS: The Leasee agrees to hold the Lesaor free and
harmlese from loss from each and every claim and demand of whatever nature
made upon tNe behalf of or by any pereon or peraons for any wrongful act or
omiesion on the part of the Lesaee, Lessee's agen[s or employees, and from all
losses or damagea by reason of auch acts or omisaione.
8. INSURANCE: The Lessee agrees that Lessee will depoait with the
Leasor a certificate of ineurarice or policy of comprehensive liability
insurance listing [he Lessor thereon as an insured party. Such policy shall
be lesued by a company licensed to do business in the State of Wisconsin and
shall insute the Lessee against loss from liebility to the amoun[ of not less
than $100,000.00 for lnjury or death of one person in any one accident; and ln
the amount of not less than $300,000.00 for the in�ury or death of more than
one person in any one accident; and in the amount of not less than $300,000.00
for damage to property oF others for any one accident. The cancellation or
other termination of any insurance policy issued in compliance with thie sec-
tion shall automatically terminate the lease, unlese another policy has been
filed and approved pursuant to this section and shall be in effect at the time
of such cancellation or tecmination.
9: MAINTENANCE OF BUILDINGS: The Lessee will maintain the struc-
tures occupied by Lessee and the surrounding land premises in good order and
make auch repairs as are necessary. In the event of fire or any other
caeualty to structures owned by the Lessee, the Lessee shall either repair or
replace the building or remove the damaged building and restore the leased
area to ita original condition; euch action must be accomplished within 120
days of the date the damaged occurred. Upon petition by the Lessee, the
Leasor may grant an ex[ension of time if it appears auch extension is war-
ranted. In the event the building is not replaced the lease shall terminate
with no fur[her lease payments due. Parking of motor vehicles ad�acent to the
hangar shall be prot�ibited.
10. RIGHT TO INSPECT: The Leseor reservee the right to enter upon
the premises at any reaeonable time for [he purpoae of making any Snspection
it may deem expedient to the proper enforcement of any of the covenanta or
condltions of thia agreement.
11. TAXES: The Lesaee shall pay all taxea or aesessments that may
be levied against Che peraonal property of the Lessee or the building which
Lessee may erec[ on lands lensed excluaively to Lessee.

12. SIGNS: The Leesee ahall have the right to erect appropriate
signs on the leased premiaes and on Leasor's premises which advertiae and give
dlrectiona to Leasee' s busineae, all subject to the approval of the Lessor and
in conformance with all rules and regulations.
13. DEFAULT: The Lesaee shall be deemed in default upon:
a. Failure to pay rent within 30 days after due date;
b. The commencement of a proceeding for disaolution or for [he
appointment of a receiver;
c. The making of an assignment for the benefit of creditors;
d. Violation of any restric[iona in this lease, or failure to
keep any of ita covenants after written notice to cease such
violation and failure to correct such violation within 30
days.
e. Failure to complete construction and landscape grounds
within two (2) years from the date of the Hangar Lease.
Default by the Lessee shall authorize [he Lessor, at its option, to declare
this lease void, cancel the same, and re-enter and take possession of the
premise. -
14. TITLE: Title to the building erected by the Lessee shall remain
with the Lessee and ahall be transferable only after the Lesaor has the oppor-
tunity to purchase the improvement for a fair and reasonable price as deter-
mined by market value ai the time. Notwithstanding the provisions of the
County Minimum Standards Ordinance, at the end of the lease term, the Lessee
shall have the right to aell the improvements located thereon or remove the
same, and the purchaser or the Lessee shall remove the same at their expense
sub�ect only to the ri�ht of the Lessor to purchase the improvements thereon
for a fair and reasonable price. That portion of the County Minimum Standarde
Ordlnance in confllct herewith, if any, is hereby waived. (see attached Schedule C)
15. SNOW REMOVAL: The Lessor agrees to provide snow removal services
for all runways, aprons and prlmary taxiways. Each Lessee shall provide i[s
own snow removal on the ramps from the hangar to the aprons and/or primary
taxiways.
16. LEASE TRANSFER: The Lessee may not, a[ any [ime during the term
of thia lease, assign, hypothecate or transfer this agreement or any interest
therin, without the prior written consent of the Leasor. The Lessor ahall not
unre��on�1� vithhold such consent. Excepted from this provision are any and
all r�ghts of a11 mortgage holders which may from time [o time have a lien

upon. Lessee�s i�erest in the improvements located on lands owned by the

��� 17. AIRPURT DEVELOPMENT: The Lessor reserves the right to further
develop or improve the landing area of the airport as il- sees fit, regardless
of the des�res or views of the Lessee, and without interference or hindrance.
If the development of the airport requires the relocation of the Lessee's
improvements, the Lessor agrees to provide a comparable location and agrees to
relocate all buildings and improvements or provide similar facilitiea for the
Lessee at no cost to the Lessee.
18. SUBORDINATION CLAUSE: This lease shall be subordinate to [he
provisions of any existing or future agreement between the Lessor and the
United States of America or the State of Wisconsin relative to the operation
or maintenance of the airport, the execution of which has been or may be
required as a condition precedent to the expenditure of federal or state funds
for the development of the airport. Furthermore, this lease may be amended
immediately and without provision for additional consideration to include
proviaions required by those agreements with the United States of America or
the State of Wisconsin.

HOLDING TANK EASEMENT
THIS INDENTURE, make this 12th day of September, 1990, by and between
SAWYER COUNTY, WISCONSIN a municipal corporation, hereinafter referred to as
"Grantor" , and NORTH LAKES AVIATION, INC. , a Wisconsin CorporatSon,
hereinafter referred to as "Grantee";
WITNESSETH, the Grantor, for and in consideration of the payment of
ten (10) cents per square foot, upon execu[ion of this agreement and annually
thereafter on the anniversary date oF this easement, hereby grants to Grantee,
the following described easement for the purpose of operating and maintaining
a buried holding tank:
An easement from this day forward up to and ending on the 12th day of
September, 2010, under and across the following described property:
A rectangular parcel 25 by 20 feet being a part of Section Thirteen
(13) , Township Forty-one (41) North, Range Nine (9) West located in
the Town of Hayward, Sawyer County, Wisconsin, more particularly
described as follows: Co�encing at the southeast corner of Lot One
(1) of Certified Survey No. 3204 recorded in Volume Thirteen (13) of
Certified Survey Maps, pages 213-214 in the Register of Deeds Office
for Sawyer County, thence N65°14'45"W, 24 feet to the starting point ,
thence N65°14'45"W, 20 feet to a point, thence at right angles
S24°45'15"W, 25 feet to a point; thence at right angles 565°14'45"E,
20 feet to a point; thence at right angles N24°45' 15"E, 25 feet to
the point of beginning.
The easement area is outlined and designated by red ink in the ori-
ginal Exhibit A which is attached hereto and incorporated herein by reference.
The above-described easement includes the rights of Grantee, its
agents and employees to enter [he ea5ement area for purposes of operating,
maintaining and repairing the now exiating buried holding tank.
Grantor covenants that it is the owner and is in possession of the
above described easement area, that it has lawful right and authority to
convey and grant the easements described herein, and that the easements shall
be binding upon the Grantor, its successors and assigns.

This existing buried holdfng tank easement is granted subject to the
following conditions:

1 . This easement is not and shall not be assignable
or otherwise transferable by Grantee either by
sale, lease , or any other manner , without first
obtaining express written consent of the Grantor.
2 . The easement granted hereby shall be for the
benefit of and restricted solely to the Grantee ,
unless otherwise agreed in writing, and the rights
acquired do not grapt the general public the right
to enter the easement area for any purpose.
3 . The easement granted hereby shall be used and
enjoyed in such a manner as to cause the least
possible interference �aith Grantor ' s property.
4 . It is expressly agreed that the easements hereby
granted are at all times subject to the absolute
right and privilege of Grantor to use , occupy and
improve the easement area without liability for
damage resulting therefrom.
5 . The Grantee agrees to fully indemnify and hold
Grantor harmless from any and every claim or
action for damages or in equity and for all
damages or equitable relief, including reasonable `
attorney fees arising out of the cost of defending
such claims or actions caused by any and all
present or future use , operation , maintenance or
repair of , or activity relating to the existing
buried holding tanlc.
6 . The Grantee is solely responsible during the term
of the easement for any and all costs and expenses
associated with the operation , maintenance or
repair of the existing buried holding tank
including but not limited to compliance with all
local , state and federal laws or regulations of
whatever kind .
7 . The Grantor reserves the right to cancel and
terminate this easement at any time upon sixty
( 60) days advance written notice to Grantee if
Grantor determines that the terms and conditions
contained herein are not complied with by the Grantee .
8 . Upon termination or cancellation of this easement ,
for whatever reason, the Grantor has the option of
either retaining the buried holding tank in place
without any cost or obligation to Grantor or
Grantor can demand that the tank be removed
forthwith and properly disposed of by Grantee at
Grantee ' s sole cost and expense .

9 . Any transfer or recording fees associated with �
this easement shall be paid by the Grantee .

SCAIDULE C .
. AGREEMENT
It is understood by the parties to this Hangar Area Lease that the last
sentence of paragraph 14 of the lease means only that the requirements of the
Minimum Standards and Procedures Ordinance as hereafter set forth are waived
as to North Lakes Aviation, for the reason that North Lakes Avlation was in .
operation prior to the enacfinent of the Ordinance by Sawyer County:
1. The requirement that North Lakes Aviation, for its aircraft charter, air
taxi, and flight instruction purposes, lease from the County an area of not
less than 9,500 square feet.
2. The requirement that North Lakes Aviation, for its aircraft charter, air
taxi, and flight instruction purposes, provide 500 square feet of floor space
for office, customer lounge and rest rooms.
3. The requirement that Nor[h Lakes Aviation, for its aircraft charter, air
taxi, and flight instruction purposes, have their premises open and services
available 8 hours daily, 6 days per week, and that they provide on-call service
during other hours, and that they make provision for someone to be in attendance
in the office at all times during the required operating hours.
4. The requirement that North Lakes Aviation, for its aircraft charter, air
taxi, and flight instruction purposes, have available more than 1 full-time
flight instructor.
It is further understood that any and all other provisions of the County's
Minimum Standards and Procedures Ordinance are in full force and effect as to
North Lakes Aviation.
